Your company is buying another company or part of a business, taking a stake in it or being sold itself. The value often lies in trademarks, software, data and customer relationships.
What matters now
- Do the key rights really belong to the company? With software from freelancers, founders or agencies, this is often not properly regulated.
- Check licences and contracts for change-of-control clauses; some end or become terminable.
- Open source components, data protection and IT security are frequent weak points.
- What the review reveals belongs in the purchase price, warranties and indemnities.
- Sellers benefit from clarifying these questions themselves beforehand.

- letter of intent or draft purchase agreement
- list of trademarks, domains and other IP rights
- key licence, developer and customer contracts
- data protection documentation and an overview of the IT
